These terms and conditions ("Agreement") govern your use of the software-as-a-service ("SaaS") provided by Softronet Inc. ("Company," "we," or "us") through Eknite. By accessing or using our services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use our services.

1. Definitions

1.1. "SaaS" refers to the software-as-a-service provided by the Company through Eknite, including any updates, enhancements, or new features.

1.2. "User" refers to any individual or entity that accesses or uses the SaaS.

2. Use of Service

2.1. Access and License: Subject to the terms of this Agreement, the Company grants the User a limited, non-exclusive, non-transferable license to access and use the SaaS for their internal business purposes.

2.2. User Obligations: The User agrees to use the SaaS in compliance with applicable laws, regulations, and this Agreement. The User is responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account.

2.3. Restrictions: The User shall not, directly or indirectly:

(a) copy, modify, or create derivative works of the SaaS;
(b) reverse engineer, decompile, or disassemble the SaaS;
(c) distribute, sublicense, or transfer the SaaS to any third party;
(d) use the SaaS for any illegal or unauthorized purpose;
(e) interfere with or disrupt the integrity or performance of the SaaS; or
(f) attempt to gain unauthorized access to the SaaS or its related systems or networks.

3. Intellectual Property

3.1. Ownership: The SaaS and all related intellectual property rights are and shall remain the exclusive property of Softronet Inc. This Agreement does not grant the User any ownership rights in the SaaS.

3.2. User Content: The User retains all ownership rights to any content they upload or transmit through the SaaS. By using the SaaS, the User grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the User's content for the purpose of providing and improving the SaaS.

4. Fees and Payment

4.1. Subscription Fees: The User agrees to pay the fees as set forth in the Company's pricing plan. All fees are non-refundable.

4.2. Payment Terms: The User shall provide accurate and complete billing information. Payments shall be made in the currency specified by the Company and according to the chosen payment method. Failure to pay fees may result in the suspension or termination of the User's access to the SaaS.

5. Privacy and Data Security

5.1.Privacy Policy: The Company's privacy policy, available on its website, outlines how personal information is collected, used, and disclosed. By using the SaaS, the User agrees to the terms of the privacy policy.

5.2. Data Security: The Company implements reasonable security measures to protect User data. However, the User acknowledges that no method of transmission or storage is completely secure, and the Company cannot guarantee the absolute security of User data.

6. AI Models and Content Accuracy

6.1. AI Models: Eknite utilizes AI models from various providers, including but not limited to OpenAI, Google, and other leading AI technologies. These models are used for content creation, including text, images, and other media.

6.2. Content Accuracy: Content generated by Eknite may contain inaccuracies, errors, or be outdated. The User should verify the information before use and should not solely rely on the AI-generated content for decision-making purposes.

7. Prohibited Uses

7.1. The User agrees not to use Eknite for any illegal, harmful, or unethical purposes, including but not limited to: Misleading Information: Creating or distributing content that misleads, deceives, or provides false information, including fake news, false advertising, and fraudulent schemes. Hate Speech and Discrimination: Creating content that promotes hate speech, discrimination, or violence against individuals or groups based on race, religion, gender, sexual orientation, disability, or other characteristics. Malicious Activities: Using Eknite to create or disseminate malicious software, phishing attacks, scams, or other harmful content designed to deceive or harm others. Intellectual Property Violations: Generating content that infringes upon the copyrights, trademarks, or other intellectual property rights of others. Harassment or Bullying: Using Eknite to create content intended to harass, intimidate, or bully others.

8. Indemnification

8.1. The User agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or in connection with (a) the User's use of the SaaS, (b) any breach of this Agreement by the User, or (c) any content created or distributed by the User through Eknite.

9. Liability Limitation

9.1. Softronet Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the User’s use of the SaaS.

10. Changes to Terms

10.1. Softronet Inc. reserves the right to modify these Terms of Use at any time. Changes will be posted on the Eknite platform, and continued use of the service constitutes acceptance of the revised terms.
